Terms and Conditions of Use for Seraphi

These Terms govern the use of Seraphi and any related agreements with the Owner. Capitalized terms are defined within this document. Users must read these Terms carefully. By accessing Seraphi via the Apple App Store or Google Play Store, Users acknowledge that Apple or Google may enforce these Terms as a third-party beneficiary.  Please note that Seraphi has a separate privacy policy that cover data use and sharing.

  1. Medical Services Disclaimer: Seraphi advises Users to consult healthcare providers before using the Service. Users affirm their health status allows engagement with the Service, which may involve dietary or activity changes. Seraphi is not a licensed medical provider and does not offer medical care. Always seek professional medical advice regarding any health condition.

  2. Termination of Service: Seraphi reserves the right to deactivate accounts or terminate access without notice for violations of these Terms. Users agree not to use the Service post-termination.

  3. User Data: Seraphi does not sell user data but may share aggregated, anonymized data with third parties for research and service improvement. Seraphi is not a medical app and is for recreational use only.

 

User Requirements: Users must:

  • Not be located in embargoed countries or listed as restricted parties.

  • Register an account with accurate information to access the Service.

 

Account Management:

  • Users must maintain the confidentiality of their login credentials.

  • Accounts may not be registered by automated means, shared, or exceed one per User.

  • Users can terminate their accounts at any time by contacting the Owner.

 

Content Policy:

  • All content on Seraphi is owned or licensed by the Owner. Users may not use this content beyond personal, non-commercial purposes without permission.

  • Users may upload their own content but grant Seraphi a license to use this content for operational purposes.

 

Liability:
Users are responsible for any content provided and agree to indemnify Seraphi against claims related to user-generated content.

 

External Resources:
Seraphi may link to third-party resources, but is not responsible for their content or availability.

 

Acceptable Use:
Seraphi may be used only as intended and within legal boundaries. The Owner reserves the right to restrict access for violations of these Terms.

 

Your Conduct:

Seraphi is not liable for content provided by others and does not have a duty to screen it. However, Seraphi reserves the right to monitor, modify, or remove any content at its discretion if it violates this Agreement or is deemed objectionable. You agree not to use Seraphi for any of the below.

  1. Upload or share unlawful, harmful, threatening, defamatory, or otherwise objectionable content.

  2. Stalk, harass, or harm others.

  3. Exploit or threaten children in any way, including sharing harmful content.

  4. Request personal information from minors you do not know.

  5. Impersonate any person or entity, or misrepresent your affiliation with any individual or organization.

  6. Engage in copyright or intellectual property infringement.

  7. Send unsolicited or unauthorized communications, including spam.

  8. Mislead recipients about the origin of content (spoofing).

  9. Upload harmful software or viruses.

  10. Disrupt the Service or access it through automated means.

  11. Engage in illegal activities.

  12. Gather personal information about other users for prohibited activities.

 

Use of Location-Based Services:

Seraphi may offer features that rely on device-based location information through GPS andcrowdsourced data from Wi-Fi and cell towers. To provide these services, Seraphi and its partners must collect and process your location data, which includes your device's geographic location and related account information.  When using third-party services that involve location data, please review their terms and privacy policies. Any location data provided is not guaranteed to be accurate and should not be relied upon in critical situations where precise location is necessary. Seraphi makes reasonable efforts to ensure service reliability, but does not guarantee the availability or accuracy of location data. LOCATION-BASED SERVICES ARE NOT INTENDED FOR EMERGENCY LOCATOR USE.

 

Terms of Sale: Certain Products are available for purchase through Seraphi. Users must register and follow the purchasing process as outlined.

  1. Product Description: Prices and availability are subject to change. Users will receive confirmation of orders submitted.

  2. Coupons: Conditions for coupons must be adhered to, and misuse may lead to refusal of service.

  3. Payment Processing: All payments are processed by third-party services. Seraphi does not handle payment information directly.

 

Subscriptions:
Subscriptions may be established, allowing for ongoing access to Products. Users must adhere to payment schedules to maintain subscriptions, which will automatically renew unless canceled.

 

Termination of Subscriptions

Users can terminate open-ended subscriptions at any time by sending a clear notice to Seraphi using the contact details provided. Terminations take effect 21 days after the notice is received.

 

User Rights

Right of Withdrawal Users generally have 14 days to withdraw from the contract without reason, unless exceptions apply. This right applies to European Consumers under EU law and is not available to non-consumers.

Exercising Withdrawal To withdraw, Users must send an unequivocal statement to Seraphi. Users may use the model withdrawal form available in the definitions section or any clear statement. The notice must be sent before the withdrawal period expires.

Withdrawal Period Expiration

  • For services: 14 days after contract initiation.

  • For digital content: 14 days after contract initiation.

Effects of Withdrawal Users will be reimbursed for all payments, excluding additional costs for non-standard delivery methods. Reimbursement will occur within 14 days of withdrawal notification using the same payment method.

Service Withdrawal If a User withdraws after requesting service performance, they must pay for the portion of the service already provided.

Exceptions Withdrawal rights do not apply if:

  • The service has been fully performed with the User's prior consent.

  • Digital content has started being provided with the User's prior consent.

 

Disclaimer of Warranties Seraphi is provided "as is" and "as available." Users assume all risks. Seraphi disclaims all warranties, including implied warranties of merchantability andfitness for a particular purpose. No information from Seraphi creates any warranty not expressly stated.

Seraphi does not guarantee the accuracy of content, uninterrupted service, or the absence of harmful components. Users are responsible for any damage from downloads or use of the service.

Seraphi is not responsible for third-party products or services advertised through the service. The service may be unavailable due to technical issues or force majeure.

 

Limitations of Liability To the maximum extent permitted by law, Seraphi is not liable for:

  • Indirect, incidental, or consequential damages.

  • Damage from unauthorized access or use of the service.

  • Content inaccuracies or personal injury.

  • Interruptions in service.

  • Bugs or viruses transmitted via the service.

 

Liability is limited to the amount paid by the User to Seraphi in the previous 12 months or the duration of the agreement, whichever is shorter.  Some jurisdictions do not allow limitations on liability, so these limitations may not apply to all Users.

 

Indemnification

Users agree to indemnify and hold Seraphi harmless from claims or damages arising from their use of the service, violations of these terms, infringement of third-party rights, andany content submitted from their account.

 

Common Provisions

No Waiver Failure to enforce any provision of these Terms does not constitute a waiver.

Service Interruption Seraphi may interrupt the service for maintenance and will notify Users. It may also suspend or discontinue the service for legal or technical reasons while ensuring Users can access their personal data.

Intellectual Property Rights All intellectual property rights related to Seraphi are owned by Seraphi or its licensors and protected by applicable laws.

Changes to These Terms Seraphi reserves the right to modify these Terms and will notify Users of any changes. Continued use of the service constitutes acceptance of revised Terms.

Assignment of Contract Seraphi may transfer its rights and obligations under these Terms. Users may not assign their rights without Seraphi’s written permission.

Severability If any provision is deemed invalid or unenforceable, the remaining provisions will remain in effect. Invalid provisions will be interpreted to align with the original intent as closely as possible.

Governing Law These Terms are governed by the laws where Seraphi is based, without regard to conflict of laws principles. Higher consumer protection standards in the User's location will prevail.

Venue of Jurisdiction The exclusive jurisdiction for disputes related to these Terms is where Seraphi is based.

Exceptions for International Consumers This does not apply to Users qualifying as European Consumers or those based in the UK, Switzerland, Norway, or Iceland.
